i-PRO Code of Conduct

i‑PRO has established the i‑PRO Code of Conduct, based on a strong sense of ethics and compliance with laws and regulations, as the foundation for all decision‑making and actions.
The Code of Conduct serves as a shared guideline that defines how each officer and employee should make decisions and act as a responsible member of society, and it is applied across all aspects of our business activities.

i‑PRO, guided by this Code of Conduct, promotes sustainability management that pursues the realization of its purpose and vision through sincere and responsible business operations, while addressing social and environmental challenges and enhancing corporate value.

i‑PRO believes that decisions and actions guided by its Code of Conduct constitute the foundation of its sustainability initiatives and underpin the trust of stakeholders worldwide.

i-PRO Sustainability Basic Policy

i-PRO established the i-PRO Sustainability Basic Policy in March 2025, prioritizing three key areas: Human Rights, Environment, and Corporate Governance, in accordance with the i-PRO Code of Conduct.

The i-PRO Sustainability Basic Policy expresses i-PRO’s intention to realize a sustainable society together with our stakeholders worldwide. Through our business activities, we contribute to addressing social and environmental challenges while ensuring our own long-term stable growth.

Sustainability Management

Sustainability Promotion Structure

Sustainability Committee

i-PRO manages sustainability-related issues across the entire Group, under the management and supervision of its Board of Directors, and through a structure centered on the CEO, toward the creation of a sustainable society.

Specifically, under the Sustainability Basic Rules, the Group has established a Sustainability Committee chaired by the CEO as part of its sustainability promotion structure. This committee manages progress on key sustainability issues (materialities), deliberates on basic policies and key initiatives, and coordinates with group companies and divisions through subcommittees. These subcommittees plan and execute specific measures while monitoring the implementation, ensuring appropriate responses to societal demands and changes in the business environment. The committee periodically reports to the Board of Directors, which oversees and supervises the committee’s activities.

In addition, i-PRO ensures highly transparent disclosures of information regarding these initiatives, in accordance with various international guidelines and disclosure standards.

Sustainability-related deliberation and reporting results (FY2025)

The i-PRO Sustainability Committee performs the following roles.

  1. Formulating strategies and plans for sustainability activities
  2. Monitoring progress and evaluating achievement of strategies and plans; considering improvement measures, etc. as necessary; reviewing plans
  3. Regular reports and recommendations to the Board of Directors
  4. Managing sustainability-related risks and opportunities; reporting risks to the Risk and Compliance Committee
  5. Formulating and publishing various sustainability-related policies; periodically reviewing and amending these Rules to reflect the latest trends

The summary of the discussions of this committee is reported to the Board of Directors and reflected in the determination of sustainability policies and measures, as well as progress management.
We will continue to strengthen our governance, aiming to achieve both the resolution of social and environmental issues and the enhancement of our corporate value.

Sustainability Strategy

i-PRO positions its fundamental sustainability strategy as contributing to a sustainable society through all business activities, across its value chain, centered on human rights, the environment, and corporate governance.

Materialities

i-PRO has identified six materialities as key sustainability issues. The identification process involved extracting and organizing issues based on business characteristics, business issues, and international guidelines, then evaluating their importance from both our own and stakeholder perspectives.

To measure progress toward achieving these materialities, we have established quantitative and qualitative indicators (KPIs) and are pursuing initiatives to meet our targets.
The materialities and KPIs were determined following approval by the Board of Directors.

Process for Identifying Material Issues

STEP1 Identify and list social issues based on our business strategy

i-PRO comprehensively identified social and environmental issues, referencing international guidelines such as the GRI Standards, ISO 26000, the Ten Principles of the United Nations Global Compact, and the SDGs, along with case studies from other leading global companies.
These issues were organized into a long list, based on their potential relevance to our business, both at present and in the future. We also examined the potential for our products, technologies, and services to contribute to solving these issues, considering societal and environmental changes, regulatory and policy trends, and stakeholder requests, and their relevance to our entire business value chain.
Through this process, we systematically organized the issues relevant to our business.

STEP2 Evaluate Importance

i-PRO evaluated the importance (materiality) of identified social and environmental issues. The evaluation was conducted using two axes—importance to stakeholders and impact on our business—incorporating a double materiality perspective.
Importance of stakeholders was based on stakeholder requests and expectations, including those of shareholders, customers, employees, and local communities. The impact on our business has been considered factors such as profitability, business continuity, brand value, and contribution to technological innovation. We also conducted a comprehensive evaluation for each issue, incorporating perspectives on societal and environmental changes, regulatory and policy trends, and risks and opportunities.

STEP3 Identify Materialities

Through extensive discussions among team members (primarily the management team and Sustainability Committee) regarding the feasibility of integrating specific evaluation items and the appropriateness of their expression, i-PRO identified six key items as materialities. We also established KPIs for each materiality.

STEP4 Approval, Disclosure, and Reviews

Our materialities and KPIs were finalized upon approval by the Board of Directors in March 2025. i-PRO will manage and disclose progress updates and continuously implement a cycle of periodical reviews to advance initiatives that balance the creation of a sustainable society with i-PRO’s sustained growth.

Collaboration with External Parties (Participation in Initiatives and Stakeholder Engagement)

Signing the United Nations Global Compact and Participation in Subcommittees Activities

i-PRO commits to being a global company that contributes to the security and safety of society while providing new value. We have established this philosophy in our i-PRO Code of Conduct. This Code of Conduct aligns with the Ten Principles advocated by the United Nations Global Compact (UNGC), and we strongly support its activities.

i-PRO joined the UNGC in June 2023. Our participation in the UNGC represents our commitment to the world, namely that we sincerely strive to respect human rights, an ethical working environment, protect the environment, and prevent corruption.
We also actively participate in the subcommittees’ activities of the Global Compact Network Japan (GCNJ). Through dialogue and collaboration with other companies and specialized organizations, we advance the sharing of knowledge and practical implementation.
Through these efforts and continuous innovation, i-PRO will continue contributing to the realization of a safe and sustainable society.

Stakeholder Engagement

As a member of the international community, i-PRO emphasizes communication with stakeholders from a global perspective to fulfill its responsibilities toward realizing a sustainable society.

We endorse the Ten Principles (internationally recognized principles of conduct) set forth by the UNGC, and integrate initiatives concerning human rights, labor, the environment, and anti-corruption into our business operations.

To put these principles into practice, we engage in continuous dialogue with a diverse range of stakeholders, including employees, customers, shareholders/investors, suppliers, and local communities, to share challenges and create value through collaboration.
Through transparent communication, we aim to increase trust in society and contribute to building a better future.

〈Examples of Specific Activities〉

i-PRO held executive/officer study sessions on the theme of sustainability, sharing international trends, progress on initiatives, and challenges, to facilitate constructive discussion within management. At shareholder-organized ESG officer meetings, our initiatives were introduced as examples of best practice, earning external recognition.
Building on these efforts, we will continue to strengthen collaboration with a broader range of stakeholders and contribute to solving global challenges.

In October 2019, i-PRO was carved out of Panasonic as an independent image sensing company.

By leveraging advanced imaging and video analytics technologies, we provide professional solutions that support safety and security for people and society, where everyone can live with peace of mind and a smile.
This philosophy is aligned with i-PRO’s purpose and vision and forms the foundation of our current sustainability initiatives.

At i-PRO, sustainability means creating a safer and more sustainable world.

By utilizing our advanced edge AI technologies, we aim to address social and environmental challenges while achieving long-term corporate growth.
This approach is deeply rooted in our fundamental philosophy: creating value through our business activities and working together with our stakeholders to realize a sustainable society.

Our “Commitments” and “Code of Conduct,” fully aligned

To embed sustainability into our corporate culture, i-PRO has clearly defined a set of shared commitments that all employees should follow.

At the core of these commitments is the i-PRO Code of Conduct.

The Code of Conduct clearly sets out behavioral standards expected as a global company, including contributing to public safety and security, respecting human rights, and promoting diversity and inclusion.
It serves as the foundation for sharing “Our Sustainability” as a common language, both internally and externally.

Our commitment for accountability and participation in the UNGC

i-PRO aligns its sustainability initiatives with international frameworks.
In June 2023, we joined the United Nations Global Compact (UNGC) and expressed our support for its Ten Principles covering human rights, labor, the environment, and anti-corruption.

As a UNGC participant, i-PRO submits an annual Communication on Progress (CoP) to report on our initiatives and ongoing commitment.
In 2025, we published our latest progress report, which is publicly available on the United Nations website.

This reflects i-PRO’s strong commitment to transparency and accountability, assessed against external global standards.

Establishing Global Human Rights and Environmental Policies

Sustainability has meaning only when it is put into practice.
At i-PRO, we clearly define priority areas and systematize them into policies with clear responsibilities and operational frameworks.

In 2024, we established the i-PRO Global Human Rights Policy, based on international standards such as the UN Guiding Principles on Business and Human Rights.

The policy clarifies our approach to respecting human rights, conducting due diligence, providing access to remedy, and ensuring transparency and disclosure.
In the same year, we also established the i-PRO Global Environmental Policy, which defines our initiatives on legal compliance, CO2 emissions reduction, resource use, and chemical substance management.

Both policies clearly define the roles of executive responsibility, implementation accountability, and oversight by the Board of Directors.
They explicitly affirm our support for the UNGC Ten Principles and ensure alignment with international frameworks.

Responsibility as a Technology Company
Institutionalizing AI Ethics

As a company that develops and delivers advanced technologies, i-PRO recognizes its responsibility for the social impact of technological innovation.

i‑PRO aims to be a leading company in AI governance as a camera manufacturer that implements AI ethically and responsibly across its product lineup. To this end, we established the i-PRO AI Ethics Principles in December 2023, followed by the launch of the i-PRO AI Ethics Committee in October 2024.
In May 2025, i‑PRO also became the first company in the industry to obtain ISO/IEC 42001 certification, the international standard for AI management systems.

These initiatives translate our responsibility as a technology company supporting safety and security into concrete rules and governance structures.

Sustainability at the Core of Management
Basic Policy, Regulations, and Materiality

In 2025, i-PRO strengthened the foundation for positioning sustainability at the core of group-wide management.

The i-PRO Sustainability Basic Policy sets out our commitment to achieving both the resolution of social and environmental challenges through our business activities and long-term growth.

It clearly aligns with the UNGC Ten Principles and our Code of Conduct.
The policy also identifies human rights, the environment, and corporate governance as core values, and defines processes for identifying and reviewing material issues, as well as for timely and appropriate disclosure of progress.

In parallel, we established the i-PRO Sustainability Basic Rules, clarifying the roles of the Sustainability Committee and the oversight responsibilities of the Board of Directors.

We have also organized our approach to materiality and KPIs, identifying six key themes directly linked to our business:
